Communication & SMS Policy

Client Communication Clause

Effective Date: 06/01/2023

This Client Communication Clause (“Clause”) is entered into between Envision Commercial Cleaning (“Company”) and Client (“Client”) as of 06/01/2023.

  1. Purpose

The purpose of this Clause is to outline the terms and conditions regarding the Company’s ability to text, call, and email the employees/team members of the Client for business-related purposes.

  1. Consent and Authorization

2.1 The Client hereby grants explicit consent and authorizes the Company to communicate with its employees/team members via text messages, phone calls, and emails, as deemed necessary by the Company.

2.2 The Client confirms that it has obtained all necessary consents and permissions from its employees/team members for the Company to contact them via text messages, phone calls, and emails for business-related purposes.

  1. Scope of Communication

3.1 The Company shall limit its communication with the Client’s employees/team members to matters directly related to the products or services provided by the Company or other legitimate business purposes.

3.2 The Company shall not use the contact information of the Client’s employees/team members for any unauthorized or unlawful purposes, including but not limited to solicitation or marketing of third-party products or services.

  1. Privacy and Confidentiality

4.1 The Company shall handle all information received from the Client’s employees/team members in accordance with applicable privacy laws and regulations.

4.2 The Company shall maintain the confidentiality of any personal or sensitive information shared by the Client’s employees/team members during the course of communication and shall not disclose such information to any third party without the express consent of the Client or as required by law.

  1. Opt-Out Option

5.1 The Client’s employees/team members shall have the right to opt-out of receiving text messages, phone calls, or emails from the Company at any time.

5.2 The Company shall provide a clear and easily accessible opt-out mechanism, such as an unsubscribe link or instructions, in all communication sent to the Client’s employees/team members.

5.3 The Company shall promptly comply with any opt-out requests and cease communication with the respective employee/team member via the requested communication channel(s).

  1. Indemnification

The Client agrees to indemnify and hold the Company harmless from any claims, damages, losses, or liabilities arising out of or in connection with the Company’s communication with the Client’s employees/team members, except in cases of the Company’s willful misconduct or negligence.

  1. Termination

Either party may terminate this Clause upon written notice to the other party. Termination shall not affect the rights and obligations accrued prior to the termination.

  1. Governing Law and Jurisdiction

This Clause shall be governed by and construed in accordance with the laws of the Ohio. Any disputes arising out of or in connection with this Clause shall be subject to the exclusive jurisdiction of the courts of Ohio.

  1. Entire Agreement

This Clause constitutes the entire agreement between the Company and the Client regarding the Company’s communication with the Client’s employees/team members and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter hereof.

IN WITNESS WHEREOF, the parties hereto have caused this Clause to be duly executed as of the Effective Date.
